- Updating the "Last Updated" date
Your continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Description of Service
Flexilocus operates an influencer marketplace platform that connects content creators ("Creators") with brands and businesses ("Brands") for collaboration opportunities, sponsored content, and marketing campaigns.
2.1 Platform Features
For Creators:
- Profile creation and portfolio management
- Social media channel integration (YouTube, Instagram, etc.)
- Analytics dashboard displaying channel performance and audience demographics
- Discovery features to be found by brands
- Collaboration management tools
- Proposal and pricing management
- Storefront for showcasing services
- Messaging and communication tools
- Payment and earnings tracking
For Brands:
- Organization and team management
- Creator discovery and search tools
- Campaign creation and management
- Collaboration proposals and invitations
- Messaging and communication tools
- Performance reporting and analytics
- Subscription and billing management
2.2 Service Availability
- We strive to maintain continuous service availability but do not guarantee uninterrupted access
- Scheduled maintenance may require temporary service interruptions
- We reserve the right to modify, suspend, or discontinue any part of the Service
- We are not liable for any service interruptions or unavailability
3. User Accounts and Roles
3.1 Account Types
Creator Accounts:
- For individual content creators and influencers
- Access to creator dashboard and tools
- Ability to connect social media channels
- Profile visibility to brands
- Storefront and pricing management
Brand Accounts:
- For businesses, agencies, and organizations
- Access to brand dashboard and tools
- Organization and team member management
- Creator discovery and campaign management
- Subscription plans with varying features
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and secure authentication methods
We are not liable for losses arising from unauthorized account access unless caused by our gross negligence.
3.3 Account Termination
Voluntary Termination:
- You may delete your account at any time through account settings
- Upon deletion, your profile and data will be removed (subject to retention requirements)
- Active subscriptions or commitments must be fulfilled or canceled
Involuntary Termination: We reserve the right to suspend or terminate your account:
- For violation of these Terms
- For fraudulent, abusive, or illegal activities
- For extended inactivity
- For non-payment of subscription fees
- At our sole discretion with or without notice
Upon termination:
- Your access to the Service will cease immediately
- Outstanding financial obligations remain due
- We may retain certain information as required by law
4. User Responsibilities and Conduct

- Create multiple accounts to circumvent restrictions
Content-Related:
- Upload, post, or transmit illegal, harmful, or offensive content
- Share content that infringes intellectual property rights
- Distribute malware, viruses, or harmful code
- Post false, misleading, or deceptive information
- Share sexually explicit, violent, or hateful content
- Engage in spam or unsolicited commercial messages
Platform Misuse:
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service's operation
- Use automated tools (bots, scrapers, crawlers) without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Circumvent security measures or access restrictions
- Manipulate metrics, statistics, or analytics data
- Create or distribute unauthorized third-party applications
Business Conduct:
- Engage in fraudulent transactions or payment activities
- Circumvent the platform to avoid fees
- Misrepresent your qualifications, audience, or capabilities
- Fail to disclose sponsored content as required by law
- Engage in price manipulation or bid rigging
- Solicit personal information for malicious purposes
API and Integration Misuse:
- Exceed rate limits or quota restrictions
- Use API access for unauthorized purposes
- Violate third-party API terms (YouTube, Instagram, etc.)
- Sell, rent, or distribute API access to others
4.3 Consequences of Violations
Violations may result in:
- Content removal
- Account suspension or termination
- Legal action and liability for damages
- Reporting to law enforcement authorities
- Permanent ban from the platform
5. Intellectual Property Rights
5.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Flexilocus and protected by:
- Copyright laws
- Trademark laws
- Patent laws
- Trade secret laws
- Other intellectual property rights
This includes but is not limited to:
- Platform design, layout, and interface
- Software code and algorithms
- Logos, branding, and trademarks
- Documentation and user guides
- Proprietary tools and features
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
5.2 User Content Ownership
You retain all ownership rights to content you create, upload, or submit ("User Content"):
- Profile information and descriptions
- Portfolio content
- Campaign proposals
- Messages and communications
- Uploaded media files
5.3 License to User Content
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
- Use, reproduce, modify, and adapt your content
- Display and distribute your content on the platform
- Create derivative works for platform operation
- Store and process your content on our servers
This license is necessary to operate the Service and ends when you delete your content or account (subject to technical limitations and retention requirements).
5.4 Content Representation
You represent and warrant that:
- You own or have rights to all User Content
- Your content does not infringe third-party rights
- Your content complies with these Terms and applicable laws
- You have obtained all necessary permissions and releases
5.5 Third-Party Content
The platform may display content from third parties:
- Social media content (YouTube videos, Instagram posts)
- User-generated reviews and ratings
- External links and embedded media
We do not control or endorse third-party content and are not responsible for its accuracy, legality, or appropriateness.
5.6 Copyright Infringement Claims
We respect intellectual property rights and respond to valid DMCA takedown notices.
To report copyright infringement, provide:
- Description of the copyrighted work
- Location of the infringing content (URL)
- Your contact information
- Statement of good faith belief
- Statement of accuracy under penalty of perjury
- Physical or electronic signature

6. YouTube API Services and Third-Party Integrations
6.1 YouTube API Services
Our Service integrates with YouTube API Services to provide channel analytics and creator insights. By connecting your YouTube channel:
You acknowledge and agree that:
- Your use of YouTube features is subject to the YouTube Terms of Service
- Your data from YouTube is handled according to the Google Privacy Policy
- We access only the data necessary to provide our services (read-only access)
- We comply with YouTube API Services Terms of Service
- We will never modify, delete, or upload content to your YouTube channel without explicit action from you
YouTube Data Usage: We access the following through YouTube APIs:
- Channel metadata (name, description, subscriber count)
- Video statistics (views, likes, comments)
- Analytics data (demographics, geography, watch time)
This data is used to:
- Display your channel information to potential brand partners
- Calculate engagement rates and performance metrics
- Provide analytics dashboards
- Facilitate informed collaboration decisions
Revoking YouTube Access: You can revoke our access to your YouTube data at any time by:
- Disconnecting your YouTube channel in account settings
- Visiting the Google security settings page
Upon revocation:
- We will cease accessing your YouTube data immediately
- Stored access tokens will be deleted within 30 days
- Cached analytics data may be retained for up to 90 days
YouTube API Services Terms: Flexilocus's use of information received from YouTube APIs adheres to the YouTube API Services Terms of Service.
6.2 Instagram Integration
By connecting your Instagram account:
- You authorize us to access your Instagram profile and insights
- You comply with Instagram's Platform Terms and Policies
- You can disconnect at any time through account settings
6.3 Google Sign-In
By using Google Sign-In:
- You authorize us to access your Google profile information (name, email, profile picture)
- You agree to Google's Terms of Service and Privacy Policy
- You can revoke access through your Google account settings
6.4 Third-Party Liability
We are not responsible for:
- Third-party service outages or API changes
- Changes to third-party terms or policies
- Data breaches or security issues with third-party services
- Suspension or termination of your third-party accounts
7. Payments, Subscriptions, and Fees
7.1 Subscription Plans
Brand Subscriptions:
- We offer subscription plans with varying features and pricing
- Subscription details, features, and pricing are available on our pricing page
- Subscriptions renew automatically unless canceled
- All fees are in the currency specified (typically USD or INR)
Plan Features:
- Different tiers may include varying limits on:
- Number of active campaigns
- Team member seats
- Advanced features and tools
- Support levels
7.2 Payment Terms
Billing:
- Subscription fees are charged in advance on a monthly or annual basis
- Payment is due immediately upon subscription or renewal
- We use third-party payment processors (Dodo Payments)
- You authorize us to charge your designated payment method
Payment Methods:
- Credit and debit cards
- UPI (for supported regions)
- Other payment methods as offered
- Payment information is securely processed by our payment processor
Taxes:
- Fees exclude applicable taxes (VAT, GST, sales tax)
- You are responsible for all taxes
- We will collect taxes as required by law
7.3 Subscription Changes
Upgrades:
- You can upgrade your subscription at any time
- Upgrades are prorated and take effect immediately
- You will be charged the difference for the current billing period
Downgrades:
- You can downgrade your subscription at any time
- Downgrades take effect at the next billing cycle
- No refunds for unused time in the current period
- Features may be limited immediately upon downgrade request
Cancellation:
- You can cancel your subscription at any time through account settings
- Cancellation takes effect at the end of the current billing period
- You retain access to paid features until the end of the period
- No refunds for partial billing periods
7.4 Free Trials and Promotions
- We may offer free trials or promotional pricing
- Trial terms will be specified at sign-up
- Trials convert to paid subscriptions unless canceled
- Promotional pricing is subject to specified terms and conditions
- One trial per user/organization
- We reserve the right to modify or terminate promotions
7.5 Refund Policy

- Subscription fees are generally non-refundable
- We may provide refunds at our sole discretion
- Refund requests must be submitted within 7 days of charge
Exceptions:
- Technical issues preventing service use (verified by our team)
- Duplicate charges or billing errors

7.6 Non-Payment and Suspension

Extended Non-Payment:
- Accounts suspended for 30+ days may be terminated
- Data may be deleted after account termination
- Outstanding balances remain due
7.7 Creator Payments
Collaboration Payments:
- Payments for collaborations are negotiated between creators and brands
- We may facilitate payments through the platform
- Transaction fees may apply
- Payment terms are specified in collaboration agreements
Payment Processing:
- Creator earnings are processed through our payment system
- Minimum withdrawal amounts may apply
- Processing time varies by payment method
- You are responsible for taxes on earnings
7.8 Platform Fees
We may charge fees for:

- Additional services
- Currency conversion
Fees are disclosed before charges are incurred.
8. Collaborations and Campaigns
8.1 Collaboration Agreements
Creator-Brand Relationships:
- Collaborations are agreements between creators and brands
- Platform facilitates discovery and communication
- Terms are negotiated by the parties
- We are not a party to collaboration agreements
Platform Role:
- We provide tools for collaboration management
- We may facilitate payments
- We do not guarantee collaboration success
- We are not liable for disputes between parties
8.2 Creator Obligations
When engaged in collaborations, creators must:
- Deliver agreed-upon content on time
- Meet quality standards specified
- Comply with FTC disclosure requirements
- Clearly disclose sponsored content (#ad, #sponsored)
- Follow platform-specific guidelines (YouTube, Instagram)
- Honor exclusivity clauses if agreed
- Maintain professional communication
8.3 Brand Obligations
When engaging creators, brands must:
- Provide clear campaign requirements
- Make timely payments as agreed
- Respect creator intellectual property
- Provide necessary brand assets and guidelines
- Communicate professionally
- Honor agreed-upon terms
8.4 Dispute Resolution
Collaboration Disputes:
- Parties should first attempt to resolve disputes directly
- Platform may provide mediation assistance (optional)
- We do not arbitrate disputes
- Legal disputes are subject to these Terms
Platform Intervention: We may intervene in cases of:
- Clear Terms violations
- Fraudulent activity
- Harassment or abuse
- Non-payment (where platform facilitates payment)
9. Privacy and Data Protection
9.1 Privacy Policy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for:
- Maintaining the security of your account
- Protecting your login credentials

10. Disclaimers and Limitations of Liability
10.1 Service Provided "As Is"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Quality, accuracy, or reliability
- Uninterrupted or error-free operation
- Security or freedom from viruses
10.2 No Guarantee of Results
We do not guarantee:
- Successful collaborations or campaigns
- Revenue generation or earnings
- Specific levels of exposure or engagement
- Accuracy of analytics or metrics
- Compatibility with third-party services
- Meeting your specific requirements
10.3 Third-Party Services
We are not responsible for:
- Third-party service availability or functionality
- Changes to third-party APIs or terms
- Data breaches at third-party services
- Actions or omissions of third-party providers
10.4 User Interactions
We are not responsible for:
- Disputes between users
- Quality of collaborations
- User conduct or content
- Fraudulent activities by users
- Breach of contracts between users
10.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
We are not liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Unauthorized access to your account
- Third-party actions or content
- Any damages arising from your use of the Service
Maximum Liability:

- Your violation of any applicable law or regulation
- Your User Content or its infringement of third-party rights
- Your interactions or disputes with other users
- Your connected social media accounts
- Your collaboration agreements and performance
- Breach of any representation or warranty
- Negligence or willful misconduct
11.2 Defense and Settlement
- We reserve the right to assume exclusive defense and control of any matter subject to indemnification
- You will cooperate fully with our defense
- You may not settle any claim without our prior written consent

- We will notify you of any claims subject to indemnification

12. Dispute Resolution and Arbitration

12.3 Class Action Waiver
YOU AND FLEXILOCUS AGREE THAT:
- Disputes will be resolved individually, not as a class action
- You waive any right to participate in class action lawsuits
- You waive any right to participate in class arbitration
- Claims cannot be consolidated with claims of other users
12.4 Governing Law and Jurisdiction
Governing Law:
- These Terms are governed by the laws of Kerala, India
- Without regard to conflict of law principles
- Excluding the UN Convention on Contracts for the International Sale of Goods
Jurisdiction:
- For matters not subject to arbitration, exclusive jurisdiction is in the courts of Kerala, India
- You consent to personal jurisdiction in those courts
- You waive any objection to venue
12.5 Limitation Period
Any claim or dispute must be filed within one (1) year of when the claim arose. Claims filed after this period are barred.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms, constitute the entire agreement between you and Flexilocus regarding the Service and supersede all prior agreements.
13.2 Modifications to Service
We reserve the right to:
- Modify or discontinue any feature or part of the Service
- Change pricing and subscription plans
- Update platform policies and requirements
- Impose limits on features or usage
We will provide reasonable notice of material changes where feasible.
13.3 Assignment
- You may not assign or transfer these Terms or your account
- We may assign these Terms to affiliates or in connection with a merger, acquisition, or sale of assets
- These Terms bind and benefit permitted successors and assigns
13.4 Severability
If any provision of these Terms is found invalid or unenforceable:
- That provision will be enforced to the maximum extent possible
- The remaining provisions remain in full force and effect
- The invalid provision will be reformed to reflect our intent
13.5 Waiver
- Our failure to enforce any provision does not constitute a waiver
- Waivers must be in writing to be effective
- Waiver of one breach does not waive subsequent breaches
13.6 No Agency
No agency, partnership, joint venture, or employment relationship is created by these Terms. You may not bind Flexilocus to any obligation.

Neither party is liable for failure to perform obligations due to causes beyond reasonable control, provided they notify the other party and resume performance when possible.
13.8 Survival
Provisions that by their nature should survive termination will survive, including:
- Intellectual property rights
- Indemnification obligations
- Limitation of liability
- Dispute resolution
- Payment obligations
13.9 Electronic Communications
- You consent to receive electronic communications from us
- Electronic communications satisfy legal writing requirements
- You may withdraw consent by deleting your account

- Notices are effective when sent
- You must keep your email address current

13.11 Export Control

- You are not located in an embargoed country

These Terms are provided in English. Translations may be provided for convenience but the English version governs in case of conflicts.
14. Beta Features and Testing
14.1 Beta Program
We may offer beta features or early access programs:
- Beta features are provided "as is" without warranties
- Beta features may be unstable or incomplete
- Beta features may be discontinued without notice
- Feedback and bug reports are appreciated
- Beta features may be subject to additional terms

By participating in beta programs:
- You grant us a license to use your feedback
- You may be required to sign additional agreements
- You agree to maintain confidentiality of non-public features

15.1 Creator Profile Accuracy
- You must accurately represent your channels, audience, and engagement
- Inflating metrics or using fake followers violates these Terms
- You must maintain active control of connected social media accounts
- Profile information must be current and truthful
15.2 FTC Compliance
- You must comply with FTC endorsement guidelines
- Clearly disclose material connections and sponsored content
- Use appropriate disclosure language (#ad, #sponsored, #partner)
- Disclosure must be clear and conspicuous
15.3 Platform-Specific Guidelines
You must comply with guidelines of connected platforms:
- YouTube Partner Program Policies
- Instagram Community Guidelines and Terms
- Platform-specific advertising policies
- Content monetization requirements
15.4 Exclusive Relationships
- Exclusive brand relationships must be disclosed
- Conflicting collaborations may not be accepted simultaneously
- Exclusivity terms are negotiated between you and brands
16. Special Provisions for Brands
16.1 Campaign Requirements
- Campaign requirements must be clear, specific, and achievable
- You must provide necessary brand assets and guidelines
- Requirements cannot violate creator rights or platform policies
- Changes to requirements must be mutually agreed upon
16.2 Content Rights
- Rights to creator content must be clearly defined
- Usage rights are limited to agreed terms
- Additional rights require separate agreement and compensation
- You may not claim ownership of creator intellectual property
16.3 Creator Treatment
- Treat creators professionally and respectfully
- Provide timely responses and feedback
- Make payments according to agreed terms

16.4 Organization Management
- You are responsible for actions of team members
- Team members must comply with these Terms
- You control team member access and permissions
- Changes to organization structure must be managed promptly

- You are responsible for all tax obligations

- Comply with tax withholding requirements

- Do not engage with prohibited parties or countries
- Do not export controlled technologies

19. Acknowledgment and Consent
By using Flexilocus, you acknowledge that you have:

For YouTube Integration, you specifically acknowledge:
- Your use is subject to YouTube Terms of Service
- Your data is handled per Google Privacy Policy
- You can revoke access at any time
- We use read-only access to your YouTube data
For Google Sign-In, you specifically acknowledge:
- Your use is subject to Google Terms of Service
- Your data is handled per Google Privacy Policy
- You can revoke access through Google account settings

YouTube API Services
Flexilocus's use of information received from YouTube APIs will adhere to the YouTube API Services Terms of Service.
By connecting your YouTube channel, you agree that your use of Flexilocus with YouTube integration is subject to the YouTube Terms of Service and you acknowledge that your data from YouTube will be handled in accordance with the Google Privacy Policy.
Google API Services
Flexilocus's use of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
IMPORTANT: These Terms contain a mandatory arbitration provision that requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions. See Section 12 for details.
These Terms of Service are effective as of the date stated above and govern your use of the Flexilocus platform.
